We reserve the right to modify or discontinue, temporarily or permanently, any part of our services with or without notice. We will not be liable for any modification, suspension, or discontinuance of the services.
4.1 Provision of Information
You agree to provide accurate, complete, and current information as required for the provision of services and to update this information as necessary to maintain its accuracy.
You agree to use our services in compliance with all applicable local, state, national, and international laws and regulations.
You agree to cooperate with Tuple Solutions in the performance of our services, including providing necessary resources, information, and access to your systems and personnel.
The fee for our services will be outlined in the service agreement or proposal provided to you. All fee are exclusive of taxes, which will be added to your invoice where applicable.
Invoices are payable within the due date per the payment terms of the contract.
If you dispute any charge, you must notify us in writing within 30 days of the date of the invoice. We will work with you in good faith to resolve any disputes.
Both parties agree to maintain the confidentiality of all confidential information disclosed by the other party. Confidential information shall not include information that is publicly known or becomes known through no breach of these Terms.
You agree not to disclose any confidential information of Tuple Solutions to any third party without our prior written consent.
Tuple Solutions retains all right, title, and interest in and to all intellectual property rights related to our services, including any improvements or modifications thereto.
We grant you a non-exclusive, non-transferable license to use our services for your internal business purposes, subject to these Terms.
Our services are provided “as is” and “as available” without any warranty of any kind, express or implied. We do not warrant that our services will be uninterrupted or error-free.
In no event shall Tuple Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits or revenue, arising out of or in connection with our services.
Our maximum liability under these Terms shall not exceed the total fee paid by you for the services in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Tuple Solutions, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in connection with your use of our services or breach of these Terms.
These Terms shall remain in effect until terminated by either party.
Either party may terminate these Terms for any reason upon 15 days written notice to the other party.
We may terminate these Terms immediately upon written notice if you breach any material provision of these Terms and fail to cure such breach within 15 days of notice.
Upon termination, you shall cease all use of our services and return or destroy all confidential information in your possession.
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States of America. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of above said jurisdiction.
This website may be accessed throughout USA and overseas. Tuple Solutions. makes no representation that the content of this website complies with the laws (including intellectual property laws) of any country outside USA. If you access this site from outside USA, you do so, on your own responsibility and are responsible for ensuring compliance with all laws in the place where you are located.
These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings, whether written or oral, relating to the subject matter hereof.
We may amend these Terms from time to time. Any amendments will be effective upon posting the updated Terms on our website. Your continued use of our services after such posting constitutes your acceptance of the amended Terms.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver of any provision of these Terms shall be deemed a waiver of any other provision, nor shall any waiver constitute a continuing waiver.
